Terms & Conditions of Sale

Welcome to OffHighWay24.

These General Terms and Conditions of Sale are written in English and constitute the legally binding version. 

They govern all sales of products carried out by OH24 through the OffHighWay24 website and apply exclusively to professional customers acting in the course of their business (B2B).

1. Purpose and scope

These General Terms and Conditions of Sale (“GTCS”) govern all sales of industrial mechanical parts carried out by OH24, through the website OffHighWay24 (https://offhighway24.com), exclusively to professional customers acting in the course of their business (B2B).

Any order placed implies full and unconditional acceptance of these GTCS.

2. Access to the Website

The Website is intended for professional users only. OH24 reserves the right to modify, suspend or restrict access to the Website at any time without prior notice.

3. Products and technical information

The products offered are industrial mechanical parts intended for professional use in sectors such as agriculture, port operations, mining, military or related industries.

Product descriptions, technical data, specifications and visuals are provided for information purposes only.
The Customer remains solely responsible for verifying that the products are suitable for their intended use.

4. Orders and validation

Orders may be placed:

  • directly online via the Website, and/or
  • through a quotation request.

All orders are subject to final validation by OH24.

An order shall only be deemed accepted and contractually binding once OH24 has sent a written order confirmation by email, following internal verification of product availability, pricing and delivery times with its suppliers.

Any automatic order acknowledgment, payment receipt or system-generated email does not constitute acceptance of the order.

OH24 reserves the right to refuse or cancel any order, in particular in case of stock unavailability, pricing discrepancies, supplier constraints, regulatory restrictions or export limitations.

5. Prices

Prices are expressed exclusive of taxes (VAT, customs duties, local taxes).

Prices are expressed in the currency indicated at the time of order.

Shipping costs, customs duties, import taxes and any other charges applicable in the destination country are borne exclusively by the Customer, unless otherwise agreed in writing.

OH24 reserves the right to modify its prices at any time.

6. Payment terms

Payments are accepted by:

  • bank transfer
  • credit card

In case of non-payment, incomplete payment or payment incident, OH24 reserves the right to suspend or cancel the order.

7. Delivery

Products are shipped from Europe to the delivery address indicated by the Customer.

Delivery times are provided for indicative purposes only.
Delays shall not give rise to cancellation, penalties or liability for OH24.

Delivery terms (including Incoterms) may be specified on the order confirmation or quotation.

Risk transfer occurs in accordance with the conditions agreed between the parties.

8. Customs, export and import regulations

The Customer is solely responsible for compliance with all applicable customs, import/export regulations, licenses, authorizations, embargoes and local laws in the country of destination.

OH24 shall not be held liable for delays, refusals, seizures or restrictions resulting from regulatory or customs authorities.

9. Retention of title

Products remain the exclusive property of OH24 until full payment of the price, including principal and ancillary costs.

10. Liability

OH24 is bound by an obligation of means only.

OH24 shall not be liable for:

  • improper use of the products
  • indirect damages
  • loss of profit, business interruption or consequential damages

Under no circumstances shall OH24’s liability exceed the amount paid for the relevant order.

11. Force majeure

OH24 shall not be held liable for any failure or delay resulting from a force majeure event as defined under French law.

12. Intellectual property

All content available on the Website (texts, images, logos, product descriptions, technical documents, etc.) is the exclusive property of OH24.

Any reproduction, representation or exploitation without prior written authorization is strictly prohibited.

The sharing of links to the Website is permitted, provided that the content is not altered and is not used for commercial purposes.

13. Personal data

Personal data is processed in accordance with the Privacy Policy available on the Website.

14. Governing law and jurisdiction

These GTCS are governed by French law.
Any dispute shall fall under the exclusive jurisdiction of the competent courts in France.

15. Language

These General Terms and Conditions of Sale are drafted in English.
Translations may be provided for information purposes only.
In case of discrepancy, the English version shall prevail.

Bertille Lesaux is responsible for logistics and administration at OffHighway24, ensuring compliance with international standards and shipping processes. She has more than thirteen years of experience in logistics, including at Valeo and other companies within the automotive sector.

Bernhard Moser

Bernhard Moser is the Managing Director of OffHighway24, leading the company’s international expansion across Europe, Asia, Africa, and the Middle East. With over three decades of experience in mechanical engineering and laser technology, he brings deep, hands-on product expertise.
A graduate of RWTH Aachen University in Germany, he has built extensive international experience through roles and assignments at McGill University in Montreal, Canada; Mercedes-Benz in Mannheim, Germany; Valeo in Limoges, France; and AxleTech Meritor in Saint-Étienne, France.
